1. Acceptance of Terms

By accessing or using Bellna POS ("the System"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the System.

2. Service Description

Bellna POS provides web-based business management systems designed for retail and service industries, including but not limited to sales and transaction management, inventory tracking, commission and lifecycle tracking, and reporting and operational analytics. Features may vary by industry solution and subscription plan. Bellna reserves the right to modify or update system features at any time.

3. Account Registration

To use the System, you must provide accurate and complete information, maintain confidentiality of login credentials, and be responsible for all activities under your account. You agree not to share access credentials without authorization.

4. Subscription & Payment

Access to Bellna POS is provided on a subscription basis. Subscription fees are billed monthly or annually, vary depending on industry solution and feature scope, and are non-refundable unless otherwise agreed in writing. Failure to make timely payments may result in account suspension.

5. Data Ownership

All business data entered into the System remains the property of the Customer. Bellna stores and processes data solely for system operation, does not claim ownership of customer business data, and will not sell or distribute customer data. Bellna may use anonymized and aggregated data for system improvement and analytics.

6. Data Security

Bellna implements reasonable technical and administrative safeguards to protect customer data. However, no web-based system can guarantee absolute security. Customers are responsible for maintaining secure internal access controls.

7. System Availability

Bellna strives to maintain stable system performance. Temporary downtime may occur due to maintenance, upgrades, or unforeseen technical issues. Bellna is not liable for indirect losses resulting from service interruptions.

8. Custom Development & Feature Requests

For industry-specific customization or feature expansion, scope must be defined in writing and additional development fees may apply. Unless otherwise agreed, all developed features remain the intellectual property of Bellna. Customers receive usage rights, not ownership of source code.

9. Limitation of Liability

Bellna shall not be liable for business losses, loss of profits, indirect or consequential damages, or errors resulting from incorrect data input by users. Total liability, if applicable, shall not exceed the amount paid by the customer in the preceding three (3) months.

10. Termination

Customers may cancel their subscription at any time. Bellna reserves the right to suspend or terminate accounts for violation of these terms or fraudulent/unlawful use. Upon termination, access to the System may be revoked.

11. Intellectual Property

All system architecture, software code, structure, and proprietary logic remain the intellectual property of Bellna. Customers are granted a limited, non-transferable license to use the System.

12. Modifications

Bellna may update these Terms at any time. Continued use of the System constitutes acceptance of updated terms.

13. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.
